Buying a Business - Offer Letter ?

I am in the early stages of looking to buy my own business. I have been in the market for quite sometime and think I have found what I am looking for. The business is somewhat seasonal and now the owners want to wait until after this season to sell. Does anyone have suggestions on putting together an offer letter contingent upon mutual approval to keep this active and moving forward? I think it is a great opportunity and do not want to miss out on it.
